条項の管理
本契約(以下「契約」といいます)の諸条件は、注文または見積依頼を送信する当事者(以下「買主」といいます)のRFQ、注文書、注文確認書またはその他のやり取りや文書(以下「買主の文書」といいます)に含まれるすべての条項および条件に優先するものとし、Samtec, Inc.(以下「売主」といいます)はこれらの買主の規約を明示的に拒否します。当事者の権利は、売主が買主の注文書を受領した時点における本契約の諸条件にのみ準拠するものとします。買主と売主の双方が署名した書面によって行われる場合を除き、本契約の条件を変更することはできません。本契約で明示的に規定される場合を除き、売主は当該の注文に対していかなる表明または保証も行いません。
売主は、売主の標準と要件に合わせてカタログ製品(以下「製品」といいます)を製造します。顧客特有の要件および基準は、売主の同意の元に、売主の図面に追加され、かつ完全に表明されているのでない限り、適用されません。買主の書類の注記において、売主の図面にて指定されている内容と異なる記述や要求がある場合、それらは無効となります。
輸送および納品
価格は、2010年インターコムズに従って、売主が指定した製造施設での工場渡し(EXW)の運賃条件に基づきます。一般運送業者または認可されたトラック運送業者への製品の納入は、買主への納品に相当するものとします。権利および輸送中の紛失または損傷のリスクは、納品時に買主に譲渡されるものとします。
価格変更
価格は、見積りに使用された総リリース数量に基づいています。すべての価格は、毎年7月1日および1月1日(以下「価格調整日」)に当社が調整するものとします。価格調整日から90(90)日以内(および通常のリードタイム内)に出荷が予定されていないすべての未決済の受注品および未出荷の注文は、自動的に新しい価格に調整されるものとします。当社のみに起因する遅延は、買主の価格設定に影響しないものとします。本セクションは、高データレート(HDR)ケーブル、光ケーブル、グラスコアテクノロジー、および/またはカスタム製品の価格設定には適用されません。上記にかかわらず、Samtec は、Samtec の管理範囲外の価格に影響を与える重大な状況に対応するため、予定された年 2 回の価格調整日以外に価格調整を行う権利を留保します。
ご注文キャンセルポリシー・発送遅延ポリシー
Samtecのご注文キャンセルポリシー、および発送遅延ポリシーは下記の通りとなります。
販売者との取引成立後は、購入者による期限から60日以内のご注文キャンセル、および配送の延期は不可とする。また、販売者が発送日程を変更する場合は販売価格の変更を伴わないものとする。価格や日程の変更についてはhttps://www.samtec.com/about/legal#price-schedule-changesをご覧ください。
高データレート(HDR)ケーブル、光ケーブル、グラスコア一テクノロジー、カスタム製品などの特定の製品は、パイプライン型の材料であるため個別に検討されます。
これらの変更は現在有効な以前のすべてのSamtecポリシーおよびお客様契約に優先するものとし、以後の通知があるまで継続して適用されます。
サーチャージ
中国を原産国とするすべての製品、およびSamtecを関税の支払い義務がある登録輸入業者とするすべての製品に関し、販売価格の15%のサーチャージが各請求書に追加されます。
支払い期間および支払猶予期間の取り消し
請求書の支払い期間は、請求書の日付から30日以内とします。売主は、買主が期限までに支払いをしなかった場合、またはその他売主が正当かつ十分であると判断する理由により、期限が延長された請求をいつでも取り消す権利を留保し、かかる場合は以降すべての出荷は引換払いとなります。買主は、キャンセル料を除き、請求書の日付から30日以内に到着するように、売主の請求額の全額を米ドルで支払うものとします。売主は買主の支払猶予期間および支払い条件を承認する継続的な権利を有し、いつでも前払いまたは十分な保証を要求できます。これらの保証には、確認済みの取消不能な(売主が受け入れ可能な形式の)信用状または書面による速やかな支払いの保証が含まれますが、これらに限定されるものではありません。
税金
本契約で規定される製品の価格は、すべての市、州および連邦物品税を除いたものであり、これには前述の税の大部分、製造税、消費税、収得税、総所得税、営業免許税、使用税および類似の税が含まれますが、これらに限定されません。買主は、売主から製品を購入する際に適用される販売税および/または消費税の支払いに責任を負うものとします。
遅延
受注および契約の履行、および製品の納品と出荷は、火災、洪水、事故、暴動、天災、戦争、テロリスト行為、政府の介入、禁輸措置、優先順位、規制、規則および制限、ストライキ、労働争議、人手、燃料、電力、材料または消耗品の不足、輸送の遅れ、売主の生産スケジュール、またはその他の原因、または売主の管理が及ばない原因(上文で特定されているものと本質的に類似しているかどうかに関わらず)の影響を受ける、これらの条件次第のものであり、これらが原因で直接的または間接的に発生した遅れについて、これらのいかなる方法で発生したかに関わらず、売主はこれらから発生し、買主が被ったいかなる損失または損害についても一切責任を負わないものとします。
売主は、上記の不測の事態が発生した場合、その裁量によりいかなる責任も負うことなく、その注文または契約、またはこれらのいずれかの部分を取り消す権利を有するものとします。
分割出荷
売主からのすべての出荷は、買主が発注した正確な数量より最大で10%多く出荷される可能性があります。売主がこの過剰分を買主に請求することはありません。売主は分割して納品する権利を留保します。かかる分割納入では、次回の納品に関わらず、個別に請求書が発行され、期限までに支払いを行う必要があります。売主は、売主の要求による分割出荷の請求書に運賃を追加する権利を留保します。ただし、かかる運賃が売主の見積りに含まれていない場合に限ります。
分割された発送に遅れが生じた場合でも、購入者の残りの発送を受け入れる義務が免除されることはありません。
各種方針
売主およびその関連会社と子会社は、お客様に関する個人データを収集および保管します。一般的な業務や記録管理目的で、売主は個人情報(PII)に関する情報を保持および処理します。売主は、お客様のデータの収集ならびに利用について、透明性の維持とデータ保護義務の遂行に取り組みます。当社で保管するお客様の個人データは、事業目的あるいは法的要件に対応するため必要な場合に限り処理されます。
見積りの実行または売主への注文書の送信により、買主は売主の個人情報保護方針および個人情報保護に関する通知に同意したものと見なされます。

自動車
買主が(i) ACD製品の部品番号、または(ii)「A-」で始まる部品番号(例:A- ###-##-##...)ではない売主の製品を自動車業界または特定の要件を有する他の用途に使用する場合、買主はこれらの製品を自動車用スコアカードの評価に使用しないことに同意し、IATF 16949またはその他の顧客に固有の要件に基づいて売主の義務を免除することに同意するものとします。詳細については売主の品質ページを参照してください。
製品に対する明示の限定的保証
売主は買主に対して、(a)製品を買主に納入した日付から6か月間、または(b)光学製品の場合は買主に納入した日付から1年間(かかる期間を「保証期間」といいます)、売主が公表した公差に応じて、(i)買主への製品納入日時点における売主の仕様に製品が適合していること、および(ii)製品に材料および製造上の重大な欠陥がないことを保証します。
保証期間中に前述の保証に適合しない製品があったことが売主により確認された場合、売主の唯一の責任は、売主の任意により、かかる不適合製品の交換または修理を行って保証された状態にすること、または当該製品の修理または交換が不可能な場合は本契約に定める購入価格を買主に返金することとします。売主は、この限定的保証に基づいて売主が義務を履行する条件として、売主がかかる不適合を確認できるようにするため、不適合が疑われる製品のサンプルを返却するよう買主に要求することができます。前述の保証は、(i)買主またはその顧客による修正、(ii)売主以外による不適切な取り扱いまたは損傷、または(iii)売主が承認していない方法または用途での使用または設置の結果生じた製品の故障には適用されないものとします。また、売主の書面による事前の許可なく、労働、改変、輸送、または買主が支出したその他の経費に関連するいかなる請求または費用について、売主はいかなる場合も責任を負いません。
保証責任の排除
本契約に明示的に規定されている場合を除き、売主は、製品またはコンポーネントに関して明示的または黙示的な保証を一切行いません。売主は、本契約に従って販売された製品の設置または使用に関連して提供された技術的な助言について、一切保証いたしません。売主によるかかる助言はすべて、保証なく提供されます。いかなる場合でも、売主は、本契約に基づいて提供された製品またはサービスによって生じた間接的損害、偶発的損害、特別損害、または結果的損害(利益の損失、データの損失、財物使用不能が含まれますがこれらに限定されません)に対して、かかる損害が契約違反、保証違反、過失、厳格責任、または他の法理論に基づいているかどうかにかかわらず一切責任を負いません。これらの免責事項が法的に無効である場合を除き、デザインに対する保証、暗示的な商品性もしくは特定の目的への適合性または非侵害性の保証を含め、すべての暗黙の保証は、明示または黙示を問わず否認されます。
請求
不足、遅延、または出荷もしくは発送しない場合、または上記に定める限定的保証以外のその他の原因に対する請求は、当該製品の到着後21日以内に書面で行われない限り、買主によって放棄および免除されたものとみなされます。
売主に製品を返品する場合は、売主から返品許可を得る必要があります。
責任限定
売主はいかなる場合においても、買主または第三者に対して、代用製品および/またはコンポーネントの調達費用、利益の損失、使用不能損失、データの損失、設置費用、または本契約に起因もしくは製品に関連して生じた偶発的損失、結果的損害、間接的損害または特別損害について、これらの損害の可能性について知らされていたとしても、かかる損害が契約違反、保証違反、過失、厳格責任、または他の法理論に基づいているかどうかにかかわらず、一切の責任を負いません。また、いかなる場合においても、売主の総責任額は、注文書の内容を問わず、その注文書の総額を超えないものとします。
知的所有権、ライセンス許諾、および補償
見積もりおよび/または注文書に基づく製品の提供(以下「成果物」といいます)は、売主が所有または管理する特許、著作権、商標、企業秘密またはその他の所有権に基づく明示的または黙示的なライセンスの許諾にはなりません。売主は、売主によって開発されたあらゆる技術、製品、情報、および売主または買主が行った売主の技術、製品および情報に対する改善または変更に対するすべての知的財産権を有しています。買主は売主の知的財産権を直接的または間接的に侵害しないことに同意するものとします。買主は、売主をすべての訴訟や不公正、すべての損害賠償、請求、米国または外国の特許の現実の侵害または主張される侵害に対する要求から守り、保護し、補償し、損害を与えないことに同意し、買主による以下の行いに起因して侵害の疑いが発生した場合に、売主に提起される可能性のある訴訟や法的措置に対処するために発生する費用や手数料から売主を擁護することに同意するものとします: (a)売主が提供していない他の製品と組み合わせた製品の使用、(b)売主が実施および承認していない製品の変更に対する改良、(c)売主による買主の仕様への準拠。
仕様、図面、ツールへの変更に関する変更
売主が承認している仕様または図面に対する変更、および本契約の規定に加えて提供された製品に対する変更によって売主が被る追加費用はすべて購入価格に加算され、買主が支払うものとします。工具および/または技術料金が見積りに含まれている場合、かかる工具について費用がかかる場合であっても、その工具は売主の資産として維持されます。誤解を避けるため、買主が工具に関連する費用を支払っても、かかる工具の権利または権原が買主に付与されることにはなりません。売主は、売主がそのすべてまたは一部を調達または設計した工具を、すべての顧客の注文に対して使用する権利を留保します。
保険
売り手は適用される法律の要求に応じて、保険の補償を維持するものとします。
輸出に関するコンプライアンス
買主は、適用されるすべての米国、欧州連合およびその他の制裁および輸出規制に関する法令を完全に遵守することに同意するものとします。これには、米国財務省外国資産管理室(OFAC)、米国国務省防衛取引管理局(DDTC) および米国商務省産業安全保障局(BIS)が管理する規制が含まれますが、これらに限定されることはありません。とりわけ買主は、これらの法令の要求に従って、直接間接を問わず、本契約に基づいて売主から受領した製品、サービス、ソフトウェア、ソースコードまたは技術を、OFAC、DDTC、および/またはBISを含みますがこれらに限定されない管轄権を有する政府当局からの事前の許可を得ることなく、米国の法令によって禁止されている活動または使用の用途で、いかなる個人、団体、または目的地に対しても、販売、提供、輸出、再輸出、譲渡、流用、貸与、賃貸、委託、または処分しないことに誓約する必要があります。
米国の法令で必要とされる範囲で、買主は更に、いずれかの人物に対して製品を提供する、または提供することに合意する前に、輸出特権が停止された業者、または貿易、輸出、および金融制裁対象者に関して該当する米国、欧州連合およびカナダ政府のリストと照らし合わせて、すべての顧客およびビジネスパートナーを審査することに誓約する必要があります。これらのリストには、OFACの特定国籍業者リスト、BISの取引禁止顧客およびエンティティリスト、米国国務省の取引禁止顧客リスト、カナダ国家財政委員会の取引禁止リスト、およびEUの統合リストが含まれますが、これらに限定されることはありません。
買主は、輸入先国へ物品を輸入するために必要な許可、ライセンス、またはその他の政府による承認の取得とそれらに関する支払いに責任を負うものとし、またそれに関連するすべての法律や規制に準拠するものとします。
買主は、自身が売主の代理人ではないことを認め、またこれまでにも代理人でなかったことを表明および保証するとともに、物品の再販売に関して政府職員にいかなる有価物も渡さないことを誓約します。
不履行
買主は、期限までに支払いをしなかった場合や、本契約に示す買主のクレジットの取消、またはここに特別事項として記載されている以外の理由で発送のキャンセルを求めたり、注文した製品の発送を拒否しようとした場合、あるいはここに記載されているいずれかの義務を履行しなかった場合に、実質的な不履行とみなされます。買主に実質的な不履行が生じた場合、売主は書面で通知することで以下を実施できるものとします:(a)その履行を中止して、すべてまたは一部の出荷を保留する、(b)本契約を終了する、(c)売主に支払われるべき全額の即時支払いを求める、および/または(d)輸送中の製品を回収または輸送を停止して、他の手続を必要とせずに買主のために保有している製品を差し押さえる。この場合、買主に残高が提供されている限り、買主は回収または差し押さえられたすべての製品が売主の財産となることに同意するものとします。ここに記載されている救済措置の適用は、法律または正当な権利として、売主が利用できる他の救済手段を排除、制限または放棄するものではありません。購入価格の支払いに対する不履行が発生した場合、買主は、売主が被った妥当な弁護士費用と、遂行にかかる費用を売主に支払うことに同意するものとします。
現行のNDA
売主および買主が秘密保持契約(以下「NDA」といいます)を締結している場合、NDAは参照により本契約に組み込まれたものとみなし、効力を維持するものとします。本契約とNDAとの間に矛盾がある場合は、本契約の条件が優先されます。
準拠法
本契約の有効性、運用、解釈、および構成に関するすべての問題は、米国インディアナ州フロイド郡の裁判所において独占的な裁判権を有するインディアナ州の法律に準拠し、接触法の原則および/または国際物品売買契約に関する国連条約を考慮または適用しないものとします。
以下の追加条項は、Samtecマイクロエレクトロニクス(以下「SME」)のすべての見積り/注文書のみに適用されます
「ロット」の定義 - 「ロット」は、売主および/または買主の同一の個々の部品として定義され、売主のマイクロエレクトロニクス部門(以下「SME」といいます)が正確かつ最終のロット書類を受け取ります。ロットは、同じ組立工程と材料(機械プログラミングを含む)を使用して一度に処理されます。受理可能なロットには、標準的な接着可能なメタライゼーションが必要となり、組立工程に悪影響を及ぼす可能性のある酸化またはその他の混入物質が含まれないものとします。SMEの訓練を受けた人員が実施する組立には、ロットに特別なエンジニアリング、固定、化学現象、または最終ロット文書に明記されている以外の特別な取り扱いは必要ありません。RFQおよび/またはこの見積書、または最終ロット文書に記載されている要件から外れている場合、SMEの単独の裁量により見積金額が変更されることがあります。本見積書は、価格を含め、買主が最終ロット文書の変更を要請した場合、または同一の部品、組立工程、および材料を使用してロットを一度に処理することができない場合、SMEによって取り消される場合があります。
ターンタイム - 「ターンタイム」とは、売主が一つのロットを組み立てるために必要とする時間を指します。ターンタイムは、SMEがすべての部品、最終ロット文書、および買主の注文書を受領し、それがSMEの生産管理システムに記録された時点から開始されます。SMEの見積書においてターンタイム「日」とは、別途記載のない限り、「24時間営業日」と定義されます。
組立材料 - 見積書はSMEの標準的な組立材料に基づきます。買主が非標準の組立材料を要求する場合は、SMEの承認を得る必要があります。承認された非標準の組立材料は、(a)買主の責任でSMEに提供されるか、または(b)SMEにより個別に見積りおよび調達されます。買主または買主の代理である他の当事者により提供された組立材料は売主による保証の対象外とし、買主はかかる材料の不適合について、本契約に定める売主の限定的保証に基づきいかなる請求もしないものとします。
生産量 - SMEは生産量を保証することはできません。このためSMEは買主に対し、必要な最少量を上回る数量をご注文することを推奨します。請求書はSMEが見積もった数量に基づきます。

2. What are the Types of Personal Data We Use and Why Do We Use It?
We process personal data that we obtain from our customers and vendors in the context of our business relationships, as well as from individuals who use our website. We also process, insofar as necessary to fulfill business and legal obligations, personal data that third parties provide to us.
Personal Data of Website Users
While you are on our website, we collect and process certain of your personal data. We collect your IP address and use cookies, which are small files that are placed on your computer, to track your navigation while on our website. The information we gather allows us to improve the features and pages on our website in order to create a website that is easier to use. Cookies can be managed and maintained by referencing and updating your web browser settings.
If you choose to create a My Samtec account, we will process only the information you provide to us, namely your login email address and password. We process this personal data to communicate directly with you, as necessary. If you or your company become a customer of Samtec, we will further process your personal data as described below under “Personal Data of Customers. We do not process any personal data about your Internet browsing or search history outside of our website.
Personal Data of Customers
If you download information, such as product models, from our website, we may process personal data including your name, mailing address, email address, telephone number, and product purchasing history, in order to evaluate and/or explore further business opportunities with you. We may also share such information with third parties including distribution partners in order to follow up on your interaction with us or our website.
If you place an order with us and thereby consent to processing of personal data provided in association with the order, we will process certain personal data in order to fulfill the order and maintain a business relationship with you and your company. We process certain personal information (such as contact name, address, email address, phone number and other contact details) to communicate with you directly. We process other data (including your order history and payment details, including credit card number and related information, bank name, and bank account number) to fulfill orders you place with us. Personal Data of Vendors
If you or your company provide goods or services to us, we will process personal data to fulfill the contract and maintain a business relationship with you. We process certain personal information (such as contact name, address, email address, phone number and other contact details that you may provide to us) to communicate with you directly.
3. On What Legal Basis Do We Process Personal Data?
We process personal data in accordance with applicable law in the locations where we conduct business, including, but not limited to, United States federal, state, and local data privacy laws, the European Union's General Data Protectin Regulation (GDPR), China's Personal Information Protection Law (PIPL), and Vietnam's Decree 13/2023/ND-CP on Personal Data Protection (VN Decree 13).
Lawful Basis for Processing Personal Data of Website Users
We process the personal data of our website users as described in this Notice based on our legitimate interests in performing the essential functions of our website and to communicate with you in response to any inquiry or request you make of us. You have the right to object to processing of your personal data by submitting your request to our Data Privacy Team. You may submit a request by email to privacy@samtec.com.
Lawful Basis for Processing Personal Data of Customers and Vendors
We process personal data of our customers and vendors for the legitimate interests of addressing our contractual obligations with them. Our processing of personal data allows us to provide or receive goods and services pursuant to these contracts or to carry out pre-contractual measures that occur as part of a request by a customer or vendor.
In addition, Samtec has a legal obligation to ensure that it does not sell products to or contract with individuals or entities with whom it is not legally allowed to contract. Samtec processes personal data of such individuals and entities, particularly the name and location of the individual or entity, in order to fulfill this legal obligation.
Other Legitimate Interests
Where required, we process your personal data beyond the actual fulfillment of the relevant contract or purchase order for the purposes of other legitimate interests pursued by us or a third party. Such legitimate interests include the following:
- Reviewing and optimizing procedures for client needs assessments for the purpose of direct client discussions;
- Internal marketing or market and opinion research;
- Asserting legal claims and defenses in legal disputes;
- Evaluating additional opportunities to conduct business with you; and
- Measures for business management and further development of Samtec services and products.
4. Who Receives My Data?
Within Samtec, every Samtec entity that requires your personal data to fulfill our contractual and legal obligations will have access to it. Service providers and agents appointed by us may also have access to data for these purposes.
With regard to transferring data to recipients outside Samtec, we may share your personal data if necessary in the context of the applicable lawful bases and legitimate interests set forth in this Notice, or if legal provisions demand it. Recipients of personal data may be, for example:
- Public entities and institutions, upon providing a legal or official obligation;
- Other Samtec companies in order to carry out a business relationship with you, including providing customer support, or to address legal or other official obligations;
- Third parties, including distribution partners, to which we transfer your personal data in order to evaluate and/or explore opportunities to conduct business with you; and
- Other third parties which may be necessary for us to carry out our business relationship with you, as necessary depending on your contract, purchase order or request.

5. Will Data Be Transferred to a Third Country or an International Organization?
Regardless of which Samtec legal entity you contract with, your personal data will be transferred to and stored on servers located in the United States.
In addition to its operations in the United States, to date Samtec has legal entities based in Brazil, China, Costa Rica, France, Germany, Hong Kong, India, Israel, Italy, Japan, Malaysia, Mexico, Scotland, Singapore, South Korea, Sweden, Taiwan, and Vietnam. As mentioned in Section 4 above, each Samtec company, including those located outside of the European Union, will have access to your personal data. Your personal data is made available to other Samtec companies because the transfer is necessary to carry out our business relationship with you, such as to provide customer support.
Each Samtec company has agreed to standard data protection clauses in order to suitably safeguard your personal data. Other third parties, such as distribution partners, may be located in other countries. If you would like to request a copy of the specific safeguards applied to the export of your personal data, send your request to privacy@samtec.com.
6. For How Long Will My Data Be Stored?
If you are a prospective or current customer or vendor, we will process and store your personal data beginning on the date you provide it to us and continuing until the completion of our business relationship with you, in compliance with Samtec's Records Retention Policy. If required by law or by a legal order, we may process and store your personal data for a longer period consistent with the law or legal order or our contractual rights. For example, we may need to keep your personal data longer if necessary to fulfill obligations to preserve records under tax law or if we are obligated to hold information because of a legal prohibition against removing or deleting the data. 8. Am I Obligated to Provide Data?
In the context of establishing a business relationship with us, you must provide all personal data that is required for accepting and carrying out the business relationship and fulfilling the accompanying contractual obligations. 9. To What Extent Is There Automated Decision-Making?

Samtec, Inc., and its subsidiaries and affiliates (together, “Samtec” or “We”), provides the following information in compliance with the CCPA in order to be sure California residents are well-informed about (i) the types of information Samtec collects, and (ii) what Samtec does with that information. Samtec may collect the personal information outlined above from various sources, including, but not limited to, the following:

The information collected from a web site user will be associated with the user upon acceptance of cookies or upon logging into an account. If you do not accept cookies on our web site, the information collected from your use of our web site will not be associated with you.
IV. Samtec's Use of Personal Information Collected
Samtec may use the personal information it collects for any one or more of the following business purposes:

VI. Right to Know
You have the right to request that we disclose certain information to you about our collection and use of your personal information over the past 12 months. Once we receive your request and confirm your identity, we will disclose to you:
- The categories of personal information we collected about you.
- The categories of sources for the personal information we collected about you.
- Our business or commercial purpose for collecting that information.
- The categories of third parties with whom we shared that personal information.
- If we sold or disclosed your personal information for a business purpose, two separate lists disclosing (a) sales, identifying the personal information categories that each category of recipient obtained, and (b) disclosures for a business purpose, identifying the personal information categories that each category of recipient obtained.

VII. Right to Delete
You have the right to request that we delete any of your personal information that we collected from you and retained, subject to certain exceptions. Once we receive your request and confirm your identity, we will review your request to see if an exception allowing us to retain the information applies. We may deny your deletion request if retaining the information is necessary for us or our service providers to:
- Complete the transaction for which we collected the personal information, provide a good or service you requested, take actions reasonably anticipated within the context of our ongoing business relationship with you, fulfill the terms of a warranty or recall conducted in accordance with law, or otherwise perform our contract with you.
- Detect security incidents, protect against malicious, deceptive, fraudulent, or illegal activity, or prosecute those responsible for such activities.
- Exercise rights or comply with obligations provided for by law.
- Enable solely internal uses that are reasonably aligned with consumer expectations based on your relationship with us.
- Make other internal and lawful uses of that information that are compatible with the context in which you provided it.
We will delete or deidentify personal information not subject to one of these exceptions from our records and will direct our service providers to take similar action.
VIII. Exercising Your Rights to Know, Delete, and/or Opt-Out of Sales of Personal Information
To exercise your rights to know or delete as described above, please submit a request by either:
You may submit a request to know up to twice within a 12-month period. Only you, or someone legally authorized to act on your behalf, may make a request to know or delete your personal information. In addition, your request to know or delete must provide sufficient information that allows us to reasonably verify you are the person about whom we collected personal information. We cannot respond to your request or provide you with personal information if we cannot verify your identity or authority to make the request and confirm the personal information relates to you. We will only use personal information provided in the request to verify the requestor's identity or authority to make it. You do not need to create an account with us to submit a request to know or delete.
We will confirm receipt of your request within ten (10) business days. We endeavor to substantively respond to a verifiable request within forty-five (45) days of receipt, but we will inform you if we require more time. If applicable, we will explain the reasons we cannot comply with a request.

IX. Non-Discrimination
We will not discriminate against you for exercising any of your rights under the CCPA. This means that, unless permitted by law, we will not deny you goods or services, charge you different prices for goods or services, provide you with a different level or quantity of goods or services, or suggest that you receive a different price for, or quality of, goods or services, as a result of you exercising your rights. Vietnam Privacy Notice Addendum
This Vietnam Privacy Notice Addendum shall complement and supplement the Samtec Privacy Notice. This Addendum only applies to (1) Vietnamese citizens and (2) users that are subject to Samtec's processing activities in Vietnam.
If you are in one of the two groups mentioned above, the Privacy Notice shall continue to apply to you, except for the parts that are irreconcilable with the below. In that case, this Addendum shall prevail on the Privacy Notice, but only to the extent needed for the changes made by this Addendum to have effect.
We will notify you of any changes to the Privacy Notice or to this Addendum that could impact the validity of your consent and will obtain new consent from you before any such changes are implemented.
A. What are the Types of Personal Data We Use and Why Do We Use It?
1.1. Processing purposes
In addition to the processing purposes listed in the Privacy Notice, we may process your Personal Data to process and evaluate applications for positions as an employee or contractor with us.
1.2. Type of personal data
Under the laws of Vietnam, personal data is defined as any data in the forms of symbols, letters, figures, images, sounds or similar forms in the electronic environment that is associated with a particular person or may lead to the identification of a particular person and is classified as basic and sensitive data.
We collect the following basic personal data when you use our websites:
- Identifiers and contact information (such as name, email, phone number, mailing address, IP address, account name, etc.);
- Demographic data (such as age, gender, citizenship, etc.);
- Commercial data (such as product purchasing history, purchasing and consuming histories and tendencies);
- Professional, employment-related, or education data;
- Cookies and tracking technologies;
- Other basic personal data related to our processing purposes as stated in the Privacy Notice.
We may also collect sensitive personal data. Sensitive personal data is defined as data associated with an individual's privacy that when violated will directly affect the individual's legitimate rights and interest. Examples of sensitive personal data under Vietnamese laws are:
- Geolocation data
- Payment data (including bank account information, debit or credit card information, etc.)
- Biometric information (including fingerprint information that may be collected for employee's time clocks)
- Political opinions, religious opinions
- Health status and private data recorded in the health record, excluding the data about blood type
- Data relating to racial origin, ethnic origin
- Other sensitive personal data related to our processing purposes as stated in Section I.
1.3. Processing
We will be processing your personal data from the moment we collect it and until the end of the retention period as stated in the Privacy Notice.
1.4. Processing Activities
Our processing activities of your personal data as stated in Section 2 above refers to one or multiple activities including collection, recording, analysis, confirmation, storage, rectification, disclosure, combination, access, traceability, retrieval, encryption, decryption, copying, sharing, transmission, provision, transfer, deletion, destruction or other relevant activities.
B. On What Legal Basis Do We Process Personal Data?
We process your personal data in accordance with applicable Vietnamese laws, including Vietnam's Decree 13/2023/ND-CP on Personal Data Protection.
We process personal data based on your consent, to the extent it is required by applicable law.
You may agree to the above processing purposes in full or in part by ticking boxes applicable at the time you provide consent for the specific purpose.
C. Who Receives My Data?
Within Samtec, every Samtec entity that requires your personal data to fulfill our contractual and legal obligations will have access to it. Service providers and agents appointed by us may also have access to data for these purposes.
With regard to transferring data to recipients outside Samtec, we may share your personal data necessary to achieve the purposes set out above, based on your consent or in accordance with any applicable legal requirements.
Recipients of personal data may be, for example:

Please note that if you do not consent to some/all of our processing activities as set out in the Privacy Notice, to the extent such consent is required by applicable law, you may be unable to access the website or to use some functions of the website, which may adversely affect your experience.
